Welcome to Office Products Marketplace Website (www.officeproductsmarketplace.com). Please read these Terms carefully as they govern your use of this Website. By accessing the Website and/or by placing an order you agree to be bound by these Terms. If you do not accept these Terms you may not use or access this Website. Unless expressly agreed in writing (for example in the case of a tender) no amendments to these Terms will apply.

Please note that the Website is intended for business customers and OPM reserves the right to refuse service and cancel orders to any non business customers.

Defined Terms

OPM means Office Products Marketplace Limited, whose registered office is Unit I, Orbital Centre, Southend Road, Woodford, IG8 H88 Registered in England number 6519967. ‘Terms’ means these terms and conditions. ‘Website’ means www.officeproductsmarketplace.com.  ‘Products’ means any product listed in this Website for which you can place an order. ‘Product Description’ means the part of the Website where certain nformation and specific terms and conditions in respect of an individual Product are provided.  ‘You’ or ‘your’ refers to the buyer and ‘us’, ‘we’ and OPM refer to Office Products Marketplace Limited.

Use of Website

This Website is owned and operated by OPM. The content of the pages of this Website is for your general information and use only. It is subject to change without notice. The material contained on the Website including all design, graphics and arrangements of content and all other information are copyright of OPM or its licensees, content providers or technology providers. This material includes, but is not limited to, the design, layout, look, appearance and graphics. All rights are reserved. Permission is granted to copy, print and distribute hard copy sections of this Website for the purpose of browsing or placing an order. Any unauthorized use of material on this Website without the permission of OPM may violate, copyright, trademark and other applicable laws. All trademarks reproduced in this Website, which are not the property of, or licensed to OPM, are acknowledged on the Website.

Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on this Website for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.

Your use of any information or materials on this Website is entirely at your own risk, for which we shall not be liable. It shall be your own responsibility to ensure that any products, services or information available through this Website meet your specific requirements.

Order information

We will take all reasonable care, in so far as it is in our power to do so, to keep details of your order and your payment secure, but in the absence of negligence on our part we cannot be held liable for any loss you may suffer if a third party procures unauthorized access to any data you provide when ordering from the Website.

Contract Formation

Order acceptance and completion of the contract between you and us will take place on the dispatch to you of the Products ordered unless we have notified you that we do not accept you order. No contract shall exist between you and OPM for the sale to you of any Products unless and until OPM accepts your order.

Non acceptance of an order may be the result of one of the following:-

* The Product you ordered being unavailable from stock
* Our inability to obtain authorization for your payment
* The identification of a pricing or product description error
* Your delivery address is in a post code area to which we do not deliver.

The order confirmation email sent by OPM is for your convenience only and does not constitute an acceptance of your order.

The contract will only relate to those Products delivered to you. OPM shall not be obliged to supply any Product that may have been part of your order until it is ready for dispatch.

Except as may otherwise be permitted by applicable law you may not cancel an order which OPM has accepted without the agreement of OPM in writing, which requirement may be waived by OPM in it sole discretion from time to time.

The products will be at your risk from the time of delivery.

Ownership and title of Products will only pass to you when we receive full payment of all sums due in respect of those Products.

Description of Products

Each Product is sold subject to the Product Description which sets out specific conditions related to that Product including without limitation terms and conditions concerning estimated delivery dates and times, warranties, after sales service and guarantees.

Due to the differences in individual screen calibrations all colours shown are representative only.

Pricing

Our price of Products will be as quoted on the Website from time to time except where a Product has been inadvertently mispriced. If the correct price is lower than the quoted price we will charge the lower correct price. If the price is higher than the quoted price of a product we will contact you to let you know the correct price and to ask whether you wish us to fulfill your order at this price or to retain and pay the additional amount due for the Product in the event that it has been delivered.  OPM shall be under no obligation to fulfill an order for a product which was advertised at an incorrect price.

OPM reserves the right, by giving you notice at the time you place an order, to increase the price of a product to reflect any increase in the cost to OPM which is due to something beyond its control. All prices are quoted exclusive of Value Added Tax (VAT) and any delivery charges, if applicable. VAT will be added to all invoices at the rate applicable on the date the VAT invoice is issued. Prices are liable to change at anytime but changes will not affect orders in respect of which a VAT invoice has been issued.

Voucher codes

From time to time voucher codes may be made available through the website and in emails sent to you if you signed up to join our mailing list when you registered or completed the email sign up box that appears throughout the Website.

Voucher codes sent by email can only be used by the recipient. Each voucher code can only be used once and may not be used in conjunction with another promotional offer on the same product. Certain keenly priced everyday office essentials including certain envelopes and printer papers will not attract voucher codes.

Products to which voucher codes have been applied will not qualify nor count towards basket values that give rise to free promotional items. We reserve the right to reject any order(s) which we believe comprises promotional items being purchased in order to increase basket size to qualify for further promotions.

Additional terms and conditions may apply to individual offers and promotions.

Minimum order value

Only orders with a value of £50 (ex VAT) or more may be placed with OPM.

Delivery

OPM understands the importance of getting your order to you as soon as possible. We aim (but cannot guarantee) to deliver nearly all orders the next working day if your order is placed before 5pm. However, certain items such as furniture and larger items may take longer and/or if your address falls within one of the post codes referred to in the Delivery Information in the Help Centre.

Please note that at the current time we do not deliver internationally.

Oversized and bulky items and furniture may require additional delivery time but should be delivered within 2 working days. Please note that OPM is unable to assemble furniture.

Bespoke, ‘to order only’ items and products delivered direct from the manufacturer to the customer may require additional delivery time. OPM will endeavour to inform you by email of the expected delivery time at least 48 hours ahead of dispatch.

Subject to the exceptions referred to above orders received Monday to Thursday by 5pm will be delivered the next working day. Orders received on Friday by 5pm will be delivered the following Monday. Orders received after 5pm on Friday or over the weekend will be delivered the following Tuesday. If your order is received after 5pm we will deliver within normal working hours within 2 business days. If for any reason we cannot deliver your order within this period we will contact you to arrange a delivery time with you.

OPM will not be liable for any cost or damage caused by late or non delivery. Any delay in delivery shall not give rise to a right to reject or cancel your order. 

OPM reserves the right to deliver Products in instalments in which event each instalment is a separate contract.

Delivery times are between 8am and 6pm. We cannot specify an exact time when we will deliver. Orders will be delivered to the delivery address supplied by you including to a specific floor if referred to in the address.

You are considered to have given authority to accept a delivery on your behalf to anyone who actually accepts delivery at the delivery address. The driver needs to obtain a signature for all deliveries. You are only signing for receipt of the package not for the condition of the Products.

Two attempts will normally be made to deliver a parcel. Thereafter it will be returned to our warehouse and you will receive a refund after deduction of delivery charges.

Free Delivery

Delivery is free on all orders which are subject to a minimum order value of £50 (ex VAT).

OPM may in its absolute discretion change the threshold value for free deliveries which will be posted in these Terms and reflected in the Website.

Payment

Unless you are an OPM Business Credit Account holder you must pay for the Products at the time you place the order.

If you are a Business Credit account holder you must pay within 30 calendar days of the date of the tax invoice. Invoices will be sent by email. If you do not pay in full by that date you will not be able to place an order until such invoice is paid. OPM will be entitled to charge you interest at 3% above the current base lending rate of Lloyds Bank compounded daily on the amount outstanding until it has been paid in full.

Submission of a credit application does not indicate that a credit account will be granted.

The credit application is subject to these Terms. Non adherence to these Terms will result in the credit account being withdrawn and the late payment charges described above being charged if applicable.

OPM has chosen Sage Pay to provide secure payment services and all orders will go through the Sage Page website. No card information is provided to OPM and payment for an order will be subject to you agreeing to Sage Pay’s terms and conditions as a separate contractual relationship between you and Sage Pay for which OPM assumes no liability.

Data Protection

Personal data that you provide to OPM including your name, postal address, email address, contact details and order, delivery and billing information will be maintained as part of our customer records. This data will be used by us to process your order, monitor your account, create order histories, to select and send OPM promotional and marketing materials and periodically to conduct trade and bank reference enquires and other credit checks. This will involve the disclosure of your data to third parties. By agreeing to these Terms you consent to the processing of your data for these purposes. Missing, incorrect or damaged products

OPM will at its discretion replace, refund or issue credit where Products are missing or incorrectly delivered as a result of our error or have been damaged in transit.  Missing, incorrect or damaged goods must be reported to us as soon as possible and in any event within 3 business days of the delivery date using Contact Us. Any credit will exclude the original delivery charge if applicable.

Returns

You may return something to us and we will refund or exchange it provided it is in a fully resalable condition and returned within 14 business days of delivery. If you contact us more than 14 business days after delivery we may be able to accept the return of the Product but not necessarily at full credit value.

All returns must be agreed by us and you will be given a collection authorization number. Our courier will have a collection label containing the collection authorization number which he will attach to your return. You will be required to sign that the collection has taken place and will be provided with a receipt.

Our carriers have no authority to accept the return of any Product unless we have agreed it with you in advance.

Any return must be in the original manufacturer’s packaging, unopened (not resealed with tape) and in a resalable condition. OPM will check returns once they are received back and reserves the right to refuse a refund on a returned Product or to deduct a restocking fee of up to 20% of the purchase price if it is found not to be resalable.

The risk in the Products being returned will remain with you until received by us.

Certain products such as ‘to order only’ items, those marked ‘not returnable’ on the Website, electrical items which have been removed from their packaging unless faulty and food and drink items which are subject to Health and Safety Regulations cannot be returned.

Collection of returns

Arrangements will be made for our couriers to collect a return within three business days of you contacting us. If your return is not collected within five business days please contact us. A collection will be attempted a maximum of two times thereafter we will be unable to issue any credit.

Warranty and Liability

All Products supplied by us are warranted to be of satisfactory quality and suitable for the purpose for which they were supplied.Our liability under this warranty in respect of any Product acknowledged by us to be faulty and provided such faults have not been caused by your misuse or negligence will be limited to the purchase price of the Product, replacement, free repair, or issue of credit. Nothing in these Terms shall exclude or limit OPM’s liability in respect of fraud or death or personal injury caused by its negligence or any other liability to the extent the same may not be excluded or limited by law.

Without prejudice to the foregoing OPM shall not be liable for any loss of income or profit or for any indirect or consequential loss or damage of any kind howsoever arising and, whether caused by the negligence of OPM, the breach or non performance of any of its obligations under these Terms or otherwise.

These Terms set out the full extent of OPM’s obligations and liabilities in respect of the sale of Products. Any condition, warranty or other term concerning the sale of Products, which might otherwise be implied into or incorporated within these Terms whether by statute, common law or otherwise is excluded to the fullest extent permitted by law.

Disclaimer

In order to provide you with the most up to date information possible price and stock availability information is subject to change without notice.

Communication

OPM may contact you from time to time to tell you about promotions and special offers. In accordance with the Privacy and Electronic Communications Regulations Act 2003 a valid ‘opt out’ option or unsubscribe link will be included in every communication.

Events outside of our control

OPM shall not be responsible for any failure to perform or delay in performing any obligation under a contract that is caused by events outside our reasonable control (‘Force Majeure Event’). Force Majeure Events include any act, non happening, omission or accident beyond our reasonable control including but not limited to war (whether declared or not), civil strife, riots, adverse weather conditions, fire, flood, labour dispute and accidents.

Our performance of the contract is deemed to be suspended for the period of the Force Majeure Event and we will have an extension of the period for performance during that period.

Law and jurisdiction

Contracts for the purchase of Products through this Website will be governed by English Law. Any dispute arising from or relating to such contracts shall be subject to the exclusive jurisdiction on the Courts of England and Wales.

General

These Terms and any document expressly referring to them represent the entire agreement between you and OPM relating to the Products. The failure by OPM or you to enforce any of these Terms does not constitute a waiver of that term and it shall in no way affect the right later to enforce the term. The invalidity or unenforceability of any clause of these Terms shall not affect the validity or enforceability of the remaining provisions. OPM may transfer any contract with you concluded on these Terms and any of its rights or obligations under such contract. OPM reserves the right to alter, amend or withdraw at any time without notice any of these Terms.

OPM Credit Account: Terms

Office Products Marketplace Business Credit Account Terms

1. A single invoice in respect of orders placed in any one month will be sent by email at the end of the month. PAYMENT IS DUE BY THE LAST BUSINESS DAY OF THE FOLLOWING MONTH IN WHICH THE INVOICE WAS ISSUED.

2. No order will be accepted by us whilst an invoice is overdue.

3. A credit limit will be set for the credit account and no order will be accepted by us where the value would exceed that credit limit.

4. This credit application is subject to the Terms of this website.

5. Non-Adherence to these Credit Terms will result in the credit account being withdrawn and late payment charges will be incurred.

6. Completion of a credit application form does not indicate that your application for a credit account will be accepted. Should there be any issues, we will contact you.

7. We may make a search with a credit reference agency and, if we do we will keep a record of that search which we may share with other businesses. We may also make enquiries about the Principal Directors with a Credit Reference Agency.

8. By applying for an Office Products Marketplace business credit account you accept these credit terms.
